Wallet Agreement<\/strong><\/p>\r\n\r\n

    \r\n \t
  1. Parties<\/strong><\/li>\r\n<\/ol>\r\n1.1.<\/strong>\r\n\r\nThis Tripy Wallet Agreement (\u201cAgreement<\/strong>\u201d) is entered into by and between a company incorporated under the laws of the Republic of Turkey, with its registered address at Bah\u00e7elievler Mah. 323\/1 Cad. C Block, Gazi University Technopark Building No: 10\/50C, Internal Door No: 101, G\u00f6lba\u015f\u0131 \/ Ankara \/ Turkey, operating in Turkey, with tax identification number 8591348891, and the natural person (\u201cUser<\/strong>\u201d) who will benefit from the services within the scope of the Tripy mobile application (\u201cApp<\/strong>\u201d) by choosing to make payments via the wallet (\u201cTripy Wallet<\/strong>\u201d) and who will benefit from the services within the scope of the App,\r\n\r\n1.2.<\/strong> By accepting this Agreement and creating a Tripy Wallet, Users may make payments within the App via the Tripy Wallet in accordance with the provisions of this Agreement.\r\n\r\n1.3.<\/strong>Tripy provides only electric bicycle usage services and does not sell any products via the App. The sole purpose of the Tripy Wallet is to provide payment convenience to Users during electric bicycle rental activities.\r\n\r\n1.4.<\/strong> The User and Tripy shall be referred to collectively as the \u201cParties<\/strong>\u201d and individually as a \u201cParty<\/strong>\u201d.\r\n\r\n1.5.<\/strong> This Agreement constitutes an annex and an integral part of the User Agreement accepted by Users during registration on the App, should they choose to make payments using the Wallet. Terms used in this Agreement but not specifically defined herein shall have the meanings assigned to them in the User Agreement.\r\n\r\n1.6.<\/strong> For detailed information regarding privacy and the protection of personal data in connection with your use of the Tripy Wallet, please refer to the Privacy and Personal Data Protection Policy available on our website at www.tripy.mobi, as well as the Application Form for the Exercise of Data Subject Rights in accordance with the Personal Data Protection Law No. 6698.\r\n
      \r\n \t
    1. Purpose<\/strong><\/li>\r\n<\/ol>\r\nTripy Wallet is designed to provide a payment convenience for Users exclusively for the electric bicycle rental services (\u201cServices\u201d) offered via the Application, and this Agreement governs the terms and conditions relating to the use of Tripy Wallet.\r\n
        \r\n \t
      1. Services<\/strong><\/li>\r\n<\/ol>\r\n3.1.<\/strong> Tripy Wallet is a payment method that offers Users convenience when making payments. Users can create a Tripy Wallet account via the App. Use of the Tripy Wallet feature is optional for Users and is not mandatory for using the App. Users may top up their Tripy Wallet in advance for later use, or they may top up their Tripy Wallet at the time of payment. Provided the User has accepted this Wallet Agreement and has topped up their Tripy Wallet balance at least once, service fees will be deducted primarily from the Tripy Wallet balance, provided there is sufficient balance in the Tripy Wallet for the duration of their use of the Services. However, if there is insufficient balance in the Tripy Wallet, the amount will be charged to the credit card or debit card the User has registered in the App. This applies to all matters to be charged to the User as a result of using the Services, such as penalties, rental fees, and compensation for damages.\r\n\r\n3.2.<\/strong> The User may add funds to the Tripy Wallet using credit cards or debit cards belonging to themselves or, provided the necessary authorisations have been obtained, to third parties.\r\n\r\n3.3.<\/strong> Users with a Tripy Wallet account may not transfer the balance they have loaded to other Users. The funds held in the Tripy Wallet belong exclusively to the User and are solely at the User\u2019s disposal.\r\n\r\n3.4.<\/strong> Amounts transferred by the User to the Tripy Wallet may only be used for the Services provided via the Application.\r\n\r\n3.5.<\/strong> The Tripy Wallet is a special payment facility available exclusively to Users; it is not possible to become a Tripy Wallet user directly without first being a Tripy User.\r\n
          \r\n \t
        1. Tripy Wallet System<\/strong><\/li>\r\n<\/ol>\r\n4.1.<\/strong> The User may create a Tripy Wallet membership, solely for use within the Application and for the Services provided within the scope of the Application, up to the maximum limit determined by Tripy and in Turkish Lira.\r\n\r\n4.2.<\/strong> Upon the User\u2019s approval of this Agreement, the Tripy Wallet account shall be automatically created.\r\n\r\n4.3.<\/strong> After creating the Tripy Wallet, the User may top up the Tripy Wallet in Turkish Lira by using a credit card or debit card, subject to verification through the phone number entered into the system.\r\n\r\n4.4.<\/strong> The Tripy Wallet account shall become active once the User loads balance into the account.\r\n\r\n4.5.<\/strong> Only credit cards or debit cards issued by banks established in the Republic of T\u00fcrkiye may be used for loading funds into the Tripy Wallet.\r\n\r\n4.6.<\/strong> In the event that the User changes their mobile phone number, the User shall immediately notify Tripy of such change. The User accepts, declares and undertakes that all risks and liabilities arising from top-ups and transactions carried out using the former mobile phone number shall belong exclusively to the User; that the User shall not make any claim against Tripy under any name whatsoever in this respect; and that the User irrevocably releases and discharges Tripy from any and all claims in relation thereto.\r\n\r\n4.7.<\/strong> The User may use the Tripy Wallet solely for the Services offered through the Application. The balances available in the Tripy Wallet account may not be used on any platform or medium other than the Application.\r\n\r\n4.8.<\/strong> The User may not request a refund of the amounts paid through the Application by using the Tripy Wallet account.\r\n\r\n4.9.<\/strong> After the User completes the use of the electric bicycle through the Application and reaches the vehicle return stage, provided that this Wallet Agreement has been approved and that balance has been loaded into the Tripy Wallet at least once, and provided further that sufficient balance is available in the Tripy Wallet throughout the period during which the User benefits from the Services, the service fee shall be collected by Tripy from the User\u2019s Tripy Wallet. Only the amount corresponding to the order fee shall be collected from the Tripy Wallet account, and the remaining amount shall continue to be held in the Tripy Wallet.\r\n\r\n4.10.<\/strong> If the User’s Tripy Wallet account has a balance equal to the rental amount, the payment method with Tripy Wallet will be determined by the User as the default payment method. In the event that the User’s Tripy Wallet account does not have a balance equal to the current amount corresponding to the rental period, if the User does not add additional balance to Tripy Wallet to cover the rental amount, payment cannot be made with Tripy Wallet and other payment methods available in the Application will be preferred.\r\n\r\n4.10.<\/strong> In the event that the User\u2019s Tripy Wallet account does not contain sufficient balance corresponding to the rental period, and the User does not load additional balance into the Tripy Wallet sufficient to cover the rental fee, payment through the Tripy Wallet cannot be completed and other payment methods available in the Application shall be used.\r\n\r\n4.11.<\/strong> Tripy may automatically collect, either partially or in full, any unpaid service fees arising from the User\u2019s previous use of the Services from the User\u2019s Tripy Wallet account, without seeking the User\u2019s further approval, provided that sufficient balance is available in the User\u2019s Tripy Wallet account.\r\n\r\n4.12.<\/strong> In the event that the amount payable by the User for the Service exceeds the available balance in the Tripy Wallet, after the entire balance available in the Tripy Wallet has been used, the remaining service fee may either be loaded into the Wallet through the \u201cload balance at the time of payment\u201d option on the payment page, or paid by the User via credit card or debit card.\r\n\r\n4.13.<\/strong> The User shall manage the Tripy Wallet account through the Application and shall carry out balance loading and payment transactions through the Application.\r\n\r\n4.14.<\/strong> In the event that the User has paid the fees relating to the Services used through the Application via the Tripy Wallet, and it is decided, for any reason whatsoever, including but not limited to overpayment, duplicate collection, erroneous collection or similar reasons, that a refund shall be made to the User, the amount to be refunded shall be transferred by Tripy to the User\u2019s Tripy Wallet account.\r\n\r\n4.15.<\/strong> Tripy shall have the right to unilaterally suspend, disable or terminate the Tripy Wallet service. In such case, Users shall be sent an informational e-mail regarding the use of the Wallet balance belonging to them, and they shall be enabled to use the balance available in their accounts. If there are any balances in the Wallet account that have not been used by the User, such balances shall be refunded, after deducting any debts, penalties, damage costs and other amounts owed to Tripy, to the credit card or debit card through which the User loaded balance into the Wallet account. If the relevant credit card or debit card has been cancelled, the refund shall be made to the verified bank account to be notified by the User to Tripy. In this regard, Users are obliged to provide Tripy\u2019s customer support team with the necessary information and documents relating to their bank accounts.\r\n\r\n4.16.<\/strong> No interest shall accrue or be paid, under any circumstances, on any idle balance remaining in the Tripy Wallet. The User accepts this in advance.\r\n\r\n4.17.<\/strong> Fees relating to Services already used, as well as balances granted as promotions or gifts, shall not be refunded to the User. The User declares in advance that they accept this matter.\r\n\r\n4.18.<\/strong> The User accepts and declares that they are obliged to notify Tripy of any objections, complaints and refund requests relating to transactions carried out through the Tripy Wallet as soon as possible, through the \u201cContact Us\u201d section within the Application, by calling the call center at +90 (850) 208 38 98, and by sending an e-mail to destek@tripy.mobi<\/a>. After the User is notified of the approval of the refund request, the refund transaction shall be processed within 2 to 15 days, depending on the bank used by the User. Tripy shall not be liable in any way for any failure to complete the refund transaction, or for any delay in completing the refund within the specified period, due to reasons attributable to the bank and\/or due to the cancellation of the credit card or debit card.\r\n\r\n5.Obligations of the User<\/strong>\r\n
            \r\n \t
          • Whilst using the Tripy Wallet services, the user;<\/li>\r\n \t
          • they are of legal age and are not deprived of legal capacity;<\/li>\r\n \t
          • the terms of use, rights and obligations of the parties, and all other provisions set forth in the User Agreement presented to and accepted by the User during the membership creation process in the Application shall remain fully valid and binding, and that the User accepts such provisions in full;<\/li>\r\n \t
          • the User shall be solely responsible for any damages arising from any inaccurate or incomplete information provided by the User, and that in such cases, the Tripy Wallet membership may be terminated by Tripy;<\/li>\r\n \t
          • in order to verify the balance loading transaction to be made to the Tripy Wallet, the User may be required to enter the one-time password sent to their mobile phone; and that the phone number provided by the User when becoming a member of the Application shall be taken into account when creating the Tripy Wallet account and loading balance;<\/li>\r\n \t
          • the User shall be personally responsible for any and all transactions carried out through the registered mobile phone via the Tripy Wallet;<\/li>\r\n \t
          • the User shall not transfer or sell the Tripy Wallet to third parties; otherwise, Tripy shall have no liability whatsoever towards either the User or any third party, and no claim may be made against Tripy in this respect;<\/li>\r\n \t
          • the User has no right to transfer the balance in the Tripy Wallet to third parties;<\/li>\r\n \t
          • the User may make ride payment transactions through the Tripy Wallet only if there is sufficient balance available in the Tripy Wallet; and that where there is insufficient balance, the User may not use the Tripy Wallet payment option and may be redirected to other payment options;<\/li>\r\n \t
          • Tripy shall not be responsible for any information that may be lost, received incompletely, or sent to an incorrect address during the use of Tripy services;<\/li>\r\n \t
          • Tripy shall not be responsible for any damages that may arise due to the unauthorized use of the User\u2019s Tripy Wallet by unauthorized persons;<\/li>\r\n \t
          • the User shall be individually responsible for protecting all information that may be associated with the account through which the Tripy Wallet is accessed, and shall not share such information with third parties; and that Tripy shall not be responsible for any damages that may arise in the event that such information is lost, stolen or used without authorization;<\/li>\r\n \t
          • Tripy has the right, at any time or continuously, to record all transactions of the User within the Application, Tripy Wallet movements, and transactions to be carried out; and that any record obtained by Tripy is obtained entirely within the scope of the User\u2019s consent;<\/li>\r\n \t
          • in the event that the User acts in breach of the rules, Tripy shall have the right to take the necessary actions and terminate the User\u2019s membership;<\/li>\r\n \t
          • the User shall not transmit any information prohibited from being transmitted under applicable legislation, and shall not share any data that the User is not authorized to send, including but not limited to chain letters, software viruses and similar content;<\/li>\r\n \t
          • any refund to be made in relation to the Wallet account shall primarily be made to the User\u2019s credit card or debit card; and if the relevant credit card or debit card has been cancelled, the refund shall be made to the verified bank account to be notified by the User to Tripy; and that the refund amount shall not exceed the amount loaded into the Wallet account;<\/li>\r\n \t
          • information relating to any and all transactions carried out by the User within the scope of this Agreement may be shared by Tripy with relevant institutions and organizations for the fulfilment of Tripy\u2019s legal obligations and for the purposes specified in the texts regarding the Protection of Personal Data, and\/or may be used after being anonymized.<\/li>\r\n<\/ul>\r\n
              \r\n \t
            1. Rights and Powers of Tripy<\/strong><\/li>\r\n<\/ol>\r\n6.1.<\/strong> Tripy shall be entitled to collect the User\u2019s outstanding debt amount directly from the User\u2019s Tripy Wallet account, without obtaining the User\u2019s further approval in this regard, provided that sufficient balance is available in the Tripy Wallet account.\r\n\r\n6.2.<\/strong> Users are not obliged to load balance into the Tripy Wallet or to pay the service fee through the Tripy Wallet.\r\n\r\n6.3.<\/strong> The balance available in the Tripy Wallet allocated to the User must have been transferred exclusively from the credit card or debit card of the User and\/or a third party duly authorized by the User.\r\n\r\n6.4.<\/strong> Tripy shall have no liability for transactions carried out through the Tripy Wallet. The User shall be solely responsible for any and all damages arising from the User\u2019s partial or complete breach of the obligations set forth in this Agreement and\/or the User Agreement, from allowing third parties to use the Tripy Wallet account, or from any unauthorized use. The protection of the access information relating to the User\u2019s Tripy Wallet account and the taking of measures to prevent its use by others shall be the responsibility of the User, and Tripy shall not be liable for any damages that may be incurred by either the User or any third party.\r\n\r\n6.5.<\/strong> Due to User transactions that raise security concerns or are deemed malicious, Tripy may temporarily suspend or permanently disable the relevant Users\u2019 ability to make payments through the Tripy Wallet or to request a balance refund.\r\n\r\n6.6.<\/strong> Tripy shall use its best efforts to ensure that its services are provided in a timely, secure and error-free manner, that the results obtained from the use of the services are accurate and reliable, and that the service quality meets expectations; however, Tripy does not undertake or guarantee the foregoing.\r\n\r\n6.7.<\/strong> Tripy shall have no liability whatsoever towards the User or any third party due to the temporary suspension or permanent discontinuation of the use of the Tripy Wallet.\r\n\r\n6.8.<\/strong> The Company has the right to make changes and updates to this Agreement on its own unilateral initiative. Changes and updates made to the Agreement will be accessible on the Company’s Application and website and Users will be informed about the changes made to the Agreement. The User’s use of the Application following the changes and updates in the Agreement means that the User accepts the current agreement.\r\n
                \r\n \t
              1. Payment<\/strong><\/li>\r\n<\/ol>\r\n

                7.1.<\/strong> If the User loads balance into the Tripy Wallet via credit card or debit card, the User may use the Tripy Wallet as a convenient payment method for the Services to be used through the Application.<\/p>\r\n

                7.2.<\/strong> An e-invoice shall be issued for the Services paid for through the Tripy Wallet. In the event that balance is loaded into the Tripy Wallet, a collection receipt shall be issued and, upon the User\u2019s request, shall be delivered to the User electronically.<\/p>\r\n7.3.<\/strong> Tripy shall not be liable towards the User and\/or any third parties for any delays, failure to complete the payment transaction, any error occurring in the payment transaction without Tripy\u2019s fault, or any damages arising as a result thereof, due to circumstances that cannot be foreseen or prevented by Tripy.\r\n

                  \r\n \t
                1. Other Provisions<\/strong><\/li>\r\n<\/ol>\r\n

                  8.1.<\/strong> Any transactions arising from legal amendments occurring outside the scope of this Agreement shall be outside Tripy\u2019s responsibility. Tripy may make changes to this Agreement and to the Wallet application, amend existing provisions and\/or add new provisions in order to meet future technical requirements and\/or comply with applicable legislation. Amendments and updates made to the Agreement shall be accessible through the Company\u2019s Application and website, and Users shall be informed of such amendments. The User\u2019s continued use of the Application following any amendments or updates to the Agreement shall mean that the User has accepted the updated Agreement.<\/p>\r\n

                  8.3.<\/strong> The failure or delay of either Party to exercise any right or authority granted under this Agreement shall not be deemed a waiver of such right or authority. The single or partial exercise of any right or authority shall not prevent the subsequent exercise of such right or authority or any other right or authority.<\/p>\r\n

                  8.4.<\/strong> If any provision of this Agreement is deemed invalid or unenforceable, this shall not affect the validity of the Agreement. The Parties shall replace the provision deemed invalid or unenforceable, to the extent possible, with a lawful, valid and enforceable provision having a similar effect. The remaining provisions shall continue to apply in full force and effect.<\/p>\r\n8.5.<\/strong> The Company may assign or transfer this Agreement, in whole or in part, or its rights and obligations arising hereunder, provided that such assignment or transfer does not reduce the protection afforded to the User herein, to an affiliate, parent company or subsidiary, to the purchaser of its capital, business or assets, or to its successor company by way of merger or any other business combination. However, the User may not assign or transfer any of their rights and obligations arising from this Agreement under any circumstances.\r\n

                    \r\n \t
                  1. Evindentiary Value<\/strong><\/li>\r\n<\/ol>\r\nIn any dispute arising from the performance of this Agreement, the User information, ride\/reservation details, reviews\/ratings and similar records stored in the Application database shall constitute binding and conclusive evidence.\r\n\r\n10. Applicable Law and Competent Court<\/strong>\r\n\r\nTurkish Law shall apply to the interpretation of this Agreement and\/or to any and all disputes arising due to this Agreement and\/or between the Parties. The Ankara Central Courts and Enforcement Offices shall have exclusive jurisdiction over any and all disputes arising from, related to, or in connection with this Agreement.\r\n
                      \r\n \t
                    1. Effective Date<\/strong><\/li>\r\n<\/ol>\r\nThis Agreement shall enter into force between the Parties upon the User\u2019s acceptance of the Agreement and shall remain in force indefinitely as long as the Tripy Wallet is used and the Agreement is not terminated.\r\n
                        \r\n \t
                      1. Confidentiality Undertaking<\/strong><\/li>\r\n<\/ol>\r\n

                        12.1.<\/strong> The User accepts and undertakes that, without being limited to those listed under this Agreement, any and all commercial and professional information and Personal Data belonging to the Company, including but not limited to the Application, software, source code, algorithm, product, service, trademarks belonging to the Company, primarily Tripy, whether registered or not, inventions, patents, designs, ideas, know-how, content, visuals, financial, legal and technical reports, customer and personnel information, marketing and strategy information, which the User may obtain or become aware of, shall be deemed confidential information. The User further accepts and undertakes to protect such confidential information and not to transfer\/disclose it to third parties, whether for consideration or free of charge, nor to reproduce, copy, reverse engineer, alter or delete it.<\/p>\r\n

                        12.2.<\/strong> The User accepts that they have read and understood this Confidentiality Undertaking and that, in the event of any breach of this undertaking, the Company may suffer irreparable damages.<\/p>\r\n

                        12.3.<\/strong> This confidentiality undertaking shall remain valid indefinitely even if this Agreement expires or is terminated.<\/p>\r\n

                        12.4.<\/strong> In the event of a partial or complete breach of the provisions of this Article 12, the Company shall have the right to terminate the Agreement unilaterally and for just cause. Without prejudice to the Company\u2019s right of termination, the Company reserves the right to recourse against the User, together with legal interest, for all damages suffered by the Company and all amounts that the Company may be required to pay to third parties, including but not limited to judicial\/administrative fines, compensation and similar payments. The Company shall be entitled to collect the User\u2019s obligations under this Agreement from the balance available in the User\u2019s Tripy Wallet. If there is insufficient balance in the User\u2019s Tripy Wallet, the Company may collect such amounts from the User\u2019s credit card or debit card registered in the Application. This matter is accepted by the User in advance.<\/p>\r\n\r\n

                          \r\n \t
                        1. Termination and Termination<\/strong><\/li>\r\n<\/ol>\r\n13.1.<\/strong> The Parties may terminate this Agreement at any time without giving rise to any compensation liability against Tripy. The rights and receivables existing between the Parties at the time of termination shall not be affected.
